These Terms of Service ("Terms") govern your access to and use of the Talk To An Expert platform, website, applications, scheduling tools, video consultation features, and related services operated by Talk To An Expert LLC ("TTAE," "we," "us," or "our").
01Introduction and Acceptance of Terms
These Terms apply to individuals, business entities, client companies, representatives, employees, contractors, and other users who access or use TTAE to seek consultations with independent attorneys ("Client," "Client Company," "you," or "your").
By registering for, accessing, purchasing, subscribing to, or using the TTAE platform, you agree that:
- you are at least 18 years old;
- you have the legal capacity to enter into these Terms;
- if you use TTAE on behalf of a company, you are authorized to bind that company;
- you have read, understood, and accepted these Terms;
- you understand that TTAE is not a law firm and does not provide legal services.
If you do not agree to these Terms, you may not access or use the Platform.
02Nature of the Platform — No Legal Services Provided by TTAE
TTAE is a technology-based platform that helps clients and client companies connect with independent U.S.-based attorneys for scheduled consultations.
TTAE is not a law firm, does not practice law, and does not provide legal advice.
TTAE does not:
- provide legal advice;
- issue legal opinions;
- represent clients in legal matters;
- prepare, review, or file legal documents as legal counsel;
- appear in court or before any authority;
- guarantee any legal result;
- control, supervise, direct, or influence the legal judgment of any attorney;
- form an attorney-client relationship with you.
All legal advice, legal opinions, and legal services are provided solely by independent licensed attorneys, if and when an attorney accepts your matter or consultation.
03Independent Attorneys
Attorneys available through or connected via TTAE are independent professionals and are not employees, agents, partners, or representatives of TTAE.
Each attorney is solely responsible for:
- determining whether they may accept a consultation;
- checking conflicts of interest;
- determining whether they are authorized to advise you in the relevant jurisdiction;
- providing legal advice, if they agree to do so;
- complying with applicable professional conduct rules, bar rules, confidentiality duties, and licensing obligations.
TTAE may perform administrative or onboarding checks, but TTAE does not guarantee:
- the availability of any attorney;
- that a specific attorney will accept your consultation;
- the attorney's legal conclusions;
- the attorney's advice;
- the outcome of your legal matter;
- that a consultation will resolve your issue.
04Attorney-Client Relationship
Use of TTAE does not automatically create an attorney-client relationship.
An attorney-client relationship may be formed only between you and an independent attorney, and only if the attorney expressly accepts the engagement or consultation under applicable law and professional rules.
TTAE is not a party to any attorney-client relationship.
You understand that:
- submitting information through TTAE does not mean an attorney has accepted your matter;
- scheduling a consultation does not guarantee that an attorney-client relationship has been formed;
- the existence, scope, and duration of any attorney-client relationship are determined solely by the attorney and applicable law;
- any legal advice is provided by the attorney, not by TTAE.
05No Emergency Legal Services
TTAE is not intended for emergency legal matters, urgent court deadlines, imminent filings, arrests, restraining orders, active litigation deadlines, eviction deadlines, immigration deadlines, or any situation requiring immediate legal action.
You should not rely on TTAE as your only source of legal help if your matter is urgent or time-sensitive.
You are solely responsible for monitoring and protecting your own legal deadlines.
06Platform Services
TTAE may provide access to features such as:
- account creation;
- client intake forms;
- consultation scheduling;
- video consultations through Zoom or other third-party video tools;
- payment processing through third-party payment processors;
- communication and administrative tools;
- customer support;
- subscription access to consultation-related services.
TTAE may update, change, suspend, or discontinue any part of the Platform at any time.
07Third-Party Services
TTAE uses third-party providers to operate the Platform. These may include, without limitation:
- Stripe for payment processing;
- Amazon Web Services — AWS for cloud hosting, storage, infrastructure, and security-related services;
- Zoom for video consultations and related communication features;
- other technology, security, analytics, communication, and support providers.
Your use of third-party services may be subject to the terms, privacy policies, and practices of those third-party providers.
TTAE is not responsible for outages, errors, failures, acts, omissions, data practices, or service interruptions caused by third-party providers.
08Fees, Payments, Subscriptions, and Billing
Certain features of the Platform may require payment.
Fees may include:
- subscription fees;
- one-time fees;
- consultation access fees;
- administrative fees;
- processing fees;
- other charges shown at checkout, on invoices, or on the Platform.
By purchasing or subscribing, you authorize TTAE and its payment processors to charge your selected payment method for all applicable fees.
Unless stated otherwise at checkout:
- subscription fees are billed in advance;
- subscriptions may automatically renew;
- fees are non-refundable except where required by law or expressly stated by TTAE;
- failure to pay may result in suspension or termination of your access.
You are responsible for all taxes, bank fees, currency conversion fees, chargeback costs, and payment-related charges associated with your purchase.
09Stripe Payment Processing
Payments are processed by independent third-party payment processors, including Stripe.
TTAE does not store full credit card numbers or complete payment card details.
By making a payment, you agree that your payment information may be processed by Stripe or another payment processor in accordance with their terms and privacy policy.
TTAE is not responsible for:
- declined transactions;
- payment processor errors;
- bank delays;
- chargebacks;
- payment disputes;
- unauthorized use of your payment method;
- fees charged by banks or payment providers.
10No Fee-Splitting with Attorneys
TTAE does not share in attorneys' legal fees in a manner prohibited by applicable professional conduct rules.
Fees paid to TTAE are for access to and use of the Platform, technology, scheduling, administrative, subscription, and related services.
Any separate attorney fee arrangement, if applicable, is solely between you and the attorney, unless otherwise clearly disclosed in writing.
11Refunds and Cancellations
Unless otherwise stated at checkout or required by law, payments made to TTAE are non-refundable.
TTAE may, at its sole discretion, issue credits, refunds, rescheduling options, or other remedies.
Cancellation of a subscription stops future billing but does not automatically entitle you to a refund for prior payments, unused time, or unused services.
If a scheduled consultation cannot occur due to attorney unavailability, technical issues, or other operational reasons, TTAE may offer rescheduling, credit, or another commercially reasonable solution.
12Client Responsibilities
You agree to:
- provide accurate, complete, and current information;
- use the Platform only for lawful purposes;
- protect your account credentials;
- not impersonate another person or company;
- not submit false, misleading, defamatory, unlawful, or fraudulent information;
- not misuse attorney consultations;
- not attempt to obtain advice from an attorney outside the attorney's authorized jurisdiction;
- not record consultations unless all legally required consents have been obtained;
- not use the Platform to harass, threaten, abuse, or exploit attorneys, staff, or other users;
- not interfere with the security or operation of the Platform.
You are responsible for the information you provide and for the decisions you make based on any consultation.
13Confidentiality and Attorney-Client Communications
TTAE implements reasonable administrative, technical, and organizational safeguards designed to protect communications and information submitted through the Platform.
However, TTAE does not determine whether attorney-client privilege applies.
The existence and scope of attorney-client privilege, work-product protection, or any similar legal protection are determined by the attorney and applicable law.
TTAE does not guarantee that information submitted before an attorney accepts your matter will be privileged.
To the extent information submitted through the Platform may be subject to attorney-client privilege, work-product doctrine, or other professional protections, TTAE will use reasonable safeguards designed to protect such information from unauthorized access or disclosure.
TTAE does not sell legal consultation content and does not use attorney-client communications or uploaded legal matter content for advertising purposes.
14Platform Data and User Content
You retain ownership of information, documents, messages, files, and content you submit to the Platform.
You grant TTAE a limited, non-exclusive, worldwide license to process, store, transmit, display, and use such content solely as necessary to:
- operate the Platform;
- facilitate consultations;
- provide customer support;
- process payments;
- maintain security;
- comply with legal obligations;
- enforce these Terms.
You represent that you have the right to submit any information or documents you upload to the Platform.
15Data Security
TTAE uses commercially reasonable safeguards designed to protect Platform data.
These may include:
- access controls;
- authentication measures;
- encryption in transit and, where appropriate, at rest;
- secure cloud infrastructure;
- monitoring and incident response measures;
- limited access by authorized personnel and service providers.
No system is completely secure. TTAE cannot guarantee absolute security or uninterrupted access.
16Prohibited Activities
You may not:
- use the Platform for unlawful, fraudulent, harmful, or abusive purposes;
- reverse engineer, copy, scrape, modify, or exploit the Platform;
- attempt to access accounts, data, or systems without authorization;
- introduce malware, viruses, or harmful code;
- interfere with the operation of the Platform;
- use the Platform to provide legal services unless authorized by TTAE and properly licensed;
- misrepresent your identity, company, legal issue, or authority;
- attempt to bypass payment obligations;
- use the Platform in violation of applicable law or professional rules.
17Intellectual Property
TTAE owns all rights, title, and interest in and to the Platform, including software, design, branding, trademarks, logos, content, workflows, interfaces, and technology.
These Terms do not transfer any ownership rights to you.
You receive only a limited, revocable, non-exclusive, non-transferable right to access and use the Platform in accordance with these Terms.
18No Warranty
The Platform is provided on an "as is" and "as available" basis.
TTAE does not warrant that:
- the Platform will be uninterrupted;
- the Platform will be error-free;
- consultations will be available at all times;
- any attorney will accept your matter;
- any legal result will be achieved;
- the Platform will meet your expectations or business needs.
To the maximum extent permitted by law, TTAE disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title, and non-infringement.
19Limitation of Liability
To the maximum extent permitted by law, TTAE shall not be liable for:
- legal advice provided by attorneys;
- acts or omissions of attorneys;
- attorney-client disputes;
- missed legal deadlines;
- legal outcomes;
- business losses;
- lost profits;
- lost revenue;
- lost data;
- reputational harm;
- indirect, incidental, special, consequential, exemplary, or punitive damages;
- third-party service failures;
- payment processor issues;
- Zoom, AWS, Stripe, or other third-party outages.
To the maximum extent permitted by law, TTAE's total liability for any claim arising out of or relating to the Platform or these Terms shall not exceed the amount you paid to TTAE during the three months preceding the event giving rise to the claim.
20Indemnification
You agree to defend, indemnify, and hold harmless TTAE, its owners, officers, directors, employees, contractors, service providers, and affiliates from and against any claims, damages, liabilities, losses, costs, and expenses arising out of or relating to:
- your use of the Platform;
- your violation of these Terms;
- your violation of law;
- your submission of inaccurate or unlawful information;
- your dispute with an attorney;
- your misuse of consultations;
- your violation of third-party rights.
21Suspension and Termination
TTAE may suspend or terminate your access to the Platform if:
- you violate these Terms;
- payment fails;
- you create legal, regulatory, security, reputational, or operational risk;
- your use of the Platform is unlawful or abusive;
- TTAE is required to do so by law;
- continued access may harm TTAE, attorneys, clients, or third parties.
Upon termination, your right to access the Platform ends immediately.
Certain provisions of these Terms will survive termination, including payment obligations, disclaimers, limitation of liability, indemnification, confidentiality-related provisions, intellectual property provisions, and governing law.
22Changes to the Platform and Terms
TTAE may update the Platform or these Terms from time to time.
Updated Terms will be posted on the Platform or otherwise made available.
Your continued use of the Platform after updated Terms become effective means you accept the updated Terms.
23Governing Law
These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-law principles.
24Dispute Resolution
Before filing any formal claim, you agree to first contact TTAE and attempt to resolve the dispute informally.
Any dispute arising out of or relating to these Terms or the Platform shall be brought in the state or federal courts located in Delaware, unless otherwise required by applicable law.
You consent to the personal jurisdiction and venue of those courts.
